Welcome to Jammy.live! We, Jammy, a California-based company, develop and manage this web platform and its mobile-compatible platform (collectively referred to as the “Platform”.

These Terms and Conditions govern your use of the Platform. By using the Platform, you acknowledge that you have read and agree to be bound by these Terms and Conditions.

  1. DEFINITIONS

In these Terms and Conditions, Jammy is referred to as “we”, “us”, “our” and other similar expressions; and users of the Platform are referred to as “you”, “your” and other similar expressions.

“Content” means all songs and content submitted by Artists on or through the Platform.

“Hosts” means reviewers, music curators and industry professionals who review and provide feedback on Content.

“Artists” means musical artists, songwriters, producers and other music creators who submit Content for review and feedback on the Platform.

“Terms and Conditions” or “Terms” means these Terms and Conditions and includes any and all amendments, modifications and supplements made hereto from time to time.

  1. BACKGROUND

The Platform operates as a micro-mentorship marketplace allowing Hosts to review and provide feedback on songs submitted by Artists. Songs may be submitted during live-streamed reviews in real time or directly through private submissions on the Platform. The Platform facilitates submissions and reviews but does not host live-streams, which take place on external platforms.

  1. APPLICATION

Your use of the Platform constitutes your acceptance of these Terms and Conditions.

These Terms constitute a binding and enforceable agreement between you and Jammy. Jammy will not be bound by any other terms or agreements except for these Terms and Conditions.

If you do not agree with these Terms and Conditions, in full or in part, your only recourse is not to use the Platform.

  1. WARRANTIES

To use the Platform and submit and/or review Content, you confirm the following to us:

  1. You are at least eighteen (18) years of age.
  2. You are not subject to any restrictions as to submitting and/or reviewing Content on the Platform.
  3. Your use of the Platform will not conflict with any order, judgment, agreement or relationship to which you are legally bound.
  4. UPDATES

We can update these Terms and Conditions at our discretion. The latest version of these Terms and Conditions will be binding and effective upon its publication on the Platform. We suggest you read the Terms and Conditions periodically to ensure familiarity with the latest version.

Your continued use of the Platform following the publication of updated Terms and Conditions will constitute your acceptance of the updated version.

  1. OWNERSHIP OF CONTENT

All Content originally uploaded by an Artist is either the property of the Artist or uploaded with all necessary consents, licenses and permissions.

Artists agree that all Content submitted or delivered under these Terms shall be the original work of the Artists or that Artists are authorized to submit or deliver and that such Content shall not be plagiarized. Artists hereby grant us and our affiliates a non-exclusive, worldwide, perpetual, irrevocable, royalty-free and transferable license to use, publish, distribute, modify and commercialize the Content published on the Platform or in connection therewith, for purposes of the Platform; and in any and all media or form of communication whether now existing or hereafter developed, without obtaining additional consent, and without restriction. Notwithstanding the foregoing, to comply with our confidentiality obligations, we will not use private submissions for marketing or promotional purposes.

For the avoidance of doubt, the license granted to us does not permit us to distribute Artists’ Content to digital service providers (such as Spotify or Apple Music).

No rights to the Content will be transferred to us, except for the license as provided herein.

Artists may not submit or deliver Content that is: (i) fraudulent, unlawful or deceptive; (ii) used to artificially manipulate or inflate metrics, including streams, views or downloads; (iii) used to circumvent, disable, or interfere with security or rights-management features; (iv) intended introduce or distribute malware, bots, scrapers, spiders, or automated data-harvesting tools; (v) harassing, threatening or abusive; (vi) infringing intellectual property, privacy or publicity right or (vii) in violation of any applicable laws or regulation.

  1. SUBMISSION OF CONTENT
  2. 7.1.Live Submissions

Artists may upload and share Content on the Platform for the purpose of obtaining feedback and reviews from Hosts. Upon submission, the Content will be placed in the Platform’s review queue, which is managed at our sole discretion.

Live submissions will be reviewed by Hosts through the platform or service on which the Content is streamed.

Submission of Content is free of charge. However, Artists may elect to pay applicable fees to increase the priority or visibility of their Content within the review queue, through a “nudge” “bump” or “boost”.

  1. 7.2.Private Feedback

Artists may elect to submit Content for private feedback. In such cases, feedback and reviews will be provided privately by Hosts through the Platform.

Private submissions are subject to applicable fees payable by the Artist at the time of submission.

  1. 7.3.Permitted Use

By submitting Content to the Platform, Artists grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use the Artist’s name, image, and likeness, solely for the following purposes: providing reviews and feedback; operating, improving, and maintaining the Platform; marketing and promotion of the Platform; and internal operations, auditing, compliance, and security purposes.

Hosts grant us a non-exclusive, worldwide, royalty-free license to use their name, image, and likeness for the following purposes: operating, improving, and maintaining the Platform; marketing and promotion of the Platform; and internal operations, auditing, compliance, and security purposes.

  1. 7.4.Artificial Intelligence

All Content submitted to the Platform must be created solely through human effort. Use of generative AI (GenAI) or similar automated technologies in the creation, generation, or development of Content is strictly prohibited.

Any breach of this provision constitutes a material breach of these Terms and may result in immediate suspension or termination of the Artist’s account.

Hosts may, at their discretion, cancel or skip a Content submission if AI use is detected.

  1. 7.5.Hosts’ Reviews

Hosts may provide reviews of Content on the Platform in accordance with these Terms. Reviews provided during live streams are public only within the context of the live broadcast. Notwithstanding the foregoing, reviews provided during live streams are deemed licensed to us and subject to the license set out in these Terms and Conditions. 

Hosts must provide thoughtful and good-faith feedback. Reviews must not contain obscene, abusive, discriminatory or problematic language.

Private reviews are confidential and accessible only between the Host and the Artist through the Platform. However, we reserve the right to access private reviews for quality control purposes, to protect against fraud or theft or in compliance with applicable laws and regulations.

We have no obligation to screen reviews or to delete reviews. Reviews are not endorsed by us, and do not represent our opinions, unless otherwise stated. We are not responsible for any review or for any claims, liabilities, or losses resulting from any review. We may remove reviews at our sole discretion.

  1. 7.6.Public Reviews

Additionally, where available, you may also leave public reviews on the Platform.

When sharing a public review, you must ensure your review does not contain: (1) offensive profanity, or abusive, racist, offensive, or hate language; (2) discriminatory references based on religion, race, gender, sexual orientation or disability; (3) references to illegal activity; (4) false or misleading statements; and (5) an invitation encouraging others to post negative reviews.

  1. 7.7.Hosts’ Obligations

Hosts may set their own pricing for “nudges,” “bumps,” and “boosts” applicable to live sessions conducted on the Platform and may choose whether to enable priority placements. The minimum fee for any priority placement is $1 per live session. Hosts may modify the pricing, at their discretion, per session.

Hosts may also set their own pricing for private reviews based on selected turnaround times of: 24 hours, 3 days or 7 days. Hosts may enable or disable these turnaround times and may pause accepting private submissions at their discretion. The minimum fee for any private review is $1. Hosts may adjust private review prices at their discretion.

Hosts agree that acceptance of any payment for a nudge, bump, or boost; or a private review constitutes a binding obligation to review the applicable Content. Hosts also agree to deliver the review within the selected turnaround timeframe.

Artists may report Hosts for problematic, offensive, discriminatory, or otherwise inappropriate behavior. We reserve the right to investigate complaints and take appropriate action, including suspension or termination of a Host’s account.

Hosts are permitted to download session data, including any personal information voluntarily provided by the Artist. Hosts may use this information for their own purposes, such as growing their communities and email lists.

  1. ACCOUNT CREATION
  2. 8.1.Accounts

To serve as a Host on the Platform, you must create an account on the Platform. As part of the creation process, you will need to provide your name, username, email address, social media handles, short biography and areas of expertise. Any additional information, such as your phone number and photo, is optional.

Your personal information will be stored and handled in accordance with our Privacy Policy.

Artists may submit Content for a live session without creating an account, however, they would need to provide the following information: their name, email address and a link or direct upload of their Content for submissions to the live queue. It is optional for Artists to include their social media handle. Artists may, at their discretion, create an account however it is not mandatory.

To receive private feedback from Hosts, Artists will need to create an account on the Platform.

  1. 8.2.Personal Information

Your username and password should be kept confidential and remain personal to you. You remain responsible for all activities that occur under your account, regardless of whether you authorized such activities. You may be held responsible for any payments incurred.

If you suspect that your account may have been compromised or is subject to a breach, please notify us in accordance with the requirements set forth in these Terms and Conditions. You agree to immediately inform us of any breaches of security such as theft or unauthorized use of your username or password.

To safeguard your information and user account, we encourage you to change your password immediately if your password may have been compromised or used without authorization.

  1. PAYMENTS

Artists may pay a fee to have their Content appear higher in the review queue. Artists must pay for any private submissions. Please note that regular submissions through a live stream are free of charge.

We collect a service fee equivalent to fifteen percent (15%) of all paid live and private submissions. The remainder of the payment for live and private submissions is paid to the Hosts in accordance with these Terms.

Artists are fully responsible for all purchases made through their user accounts.

  1. REFUNDS

All completed submissions on the Platform are final and may not be refunded. Any refunds granted by us will be handled in accordance with this Refund Policy.

Live submission nudges, bumps and boosts are non-refundable. Unplayed nudges, bumps, and boosts may be refunded to the Artist. Incomplete and expired private submissions may be refunded to the Artist. For example, if a private submission expires before it is reviewed by a Host, the Artist will be automatically refunded.

  1. HOSTS’ COMPENSATION

Hosts are entitled to compensation for conducting reviews of Content. Accordingly, Hosts will be paid:

  • eighty-five percent (85%) of every live session review;
  • eighty-five percent (85%) of every completed private submission; and
  • eighty-five percent (85%) of any revenue generated through the Platform, including through add-on services and one-on-one follow up sessions provided by Hosts.

Hosts will receive compensation for completed reviews and bookings through Stripe. They will be paid following the closing of every live session, and for every private submission, upon completion of the review. Hosts will be paid following the completion of scheduled one-on-one follow up sessions. Hosts must mark the service complete on the platform to consider the service rendered and receive compensation.

Unless otherwise indicated, the Hosts’ compensation will be handled through Stripe.

We reserve the right to suspend or terminate your compensation if your payment information or Stripe account is unusable or invalid.

  1. TERMINATION OF ACCOUNTS

We reserve the right to terminate your account on the Platform under the following circumstances:

  1. Your use of the Platform breaches these Terms and Conditions, any applicable law or is contrary to public interest.

You may terminate your account on the Platform at any time.

  1. AUTHORIZED AND UNAUTHORIZED USE

You are responsible for using the Platform in accordance with all applicable laws and regulations.

You remain responsible for all actions, communications, publications and omissions in connection with your use of the Platform. While using the Platform, you may not engage, or attempt to engage, in any of the following behavior:

  • Using the Platform to violate or infringe any applicable law, regulation or policy, including legislation applicable in your country of residence;
  • Using the Platform for any unlawful or illegal purpose, or encouraging others to use the Platform for such purposes;
  • Transmitting a virus or harmful components through the Platform;
  • Impersonating an individual or company, or otherwise misleading others about your true identity;
  • Collecting personal information about users of the Platform, without their valid and lawful consent. Nothing in these Terms restricts Hosts from accessing or downloading personal information they are authorized to access through the Platform, in accordance with these Terms;
  • Hacking, disassembling, or reverse engineering the Platform or any portion thereof;
  • Damaging, destroying, disabling or otherwise impairing the Platform or any portion thereof;
  • Selling, assigning or otherwise transferring your account, without our prior written consent;
  • Engaging in behavior that is contrary to the intent of these Terms.

The list above is for reference purposes, and does not constitute an exhaustive list of all prohibited conduct.

  1. INTERMEDIARY

The Platform is intended to facilitate connections between Artists and Hosts. We are not a party to any agreement between Hosts and Artists.

Hosts are independent service providers and are not employees of ours. Nothing in these Terms should be construed as creating any agency, partnership, joint venture, or employment relationship between us and any Host or Artist.

As such, we do not control or guarantee the quality, legality, accuracy, effectiveness or substance of any review, feedback, or Content provided. All reviews reflect the independent opinions of the applicable Host.

All interactions between Hosts and Artists are at their own risk. To the fullest extent permitted by applicable law, we disclaim liability arising from or relating to acts, omissions, reviews, communications, or conduct of any Host or Artist.

  1. INTELLECTUAL PROPERTY RIGHTS

All intellectual property published on the Platform, other than Content, is proprietary to us and may not be reproduced or shared without our prior written consent.

We own the intellectual property, or we have secured valid licenses to publish the same on the Platform.

The Content that has been licensed to us remains the property of its respective owners. The Content shared on the Platform is protected by intellectual property laws. All rights relating thereto are reserved.

  1. COPYRIGHT INFRINGEMENT

In accordance with the terms of the Digital Millennium Copyright Act (“DMCA”), we engage in all necessary processes to prevent intellectual property and copyright infringement.

We encourage you to report any potential copyright infringement on the Platform to our attention.

If you own or license a trademark or intellectual property right and have reason to believe your intellectual property or trademark has been published on the Platform in violation of your rights, please send us a written notice in accordance with these Terms.

Any notice reporting a potential violation must contain the following information:

  1. a link to the Content that is subject to the claim of copyright or intellectual property infringement;
  2. a description of the intellectual property right. This description should refer to the date of the intellectual property’s conception, and should include photos, links, and other relevant information;
  3. your contact information;
  4. your written confirmation that the notice was prepared and sent in good faith; and
  5. your written confirmation that all statements and information contained in the notice are true to the best of your knowledge.

The notice must be signed, manually or digitally, and dated.

If your notice is founded, we will promptly remove all infringing Content from the Platform.

If we determine that your notice is unfounded, we will inform you of our decision in writing.

  1. THIRD PARTY LINKS

In an attempt to provide increased value, the Platform may provide links to websites and applications operated by third parties. The links are for reference and convenience. These links are not governed by and subject to these Terms.

You therefore agree to access such third-party links at your own risk. Third party sites are subject to separate terms and policies.

  1. DISCLAIMERS

The Platform is provided “as is” without any warranties of any nature, including those that are express, implied, or statutory.

We do not warrant that the Platform will perform without error and interruption at all times. We will not be responsible for any service interruptions, including, without limitation, power outages, system failures or other interruptions beyond our control.

  1. LIMITATED LIABILITY

To the fullest extent permitted by applicable law, we will not be liable for direct, incidental, indirect, or consequential damages, technical issues, system failures, lost profits, loss of business, injuries, or damages of any nature.

In all cases and to the fullest extent permitted by law, our aggregate liability will not exceed the total amount paid by you in the six (6) months prior to the event giving rise to the claim.

You acknowledge that your use of the Platform will be at your sole risk, to our full exclusion.

You agree to release and discharge us from all claims, losses, damages, liabilities, obligations, rights, remedies and causes of action that you have, may have or had against us arising out of the Platform and dealings between us.

  1. INDEMNIFICATION

You agree to indemnify and hold us harmless against losses, damages, liabilities, costs and expenses in connection with any third party claims arising out of:

  1. your use of the Platform,
  2. your breach of these Terms and Conditions, applicable laws or regulations and/or
  3. your negligence or willful misconduct.
  4. ENTIRE AGREEMENT

These Terms and Conditions, together with any policy referenced herein, constitute the entire agreement between you and us, and supersede all prior agreements and negotiations between us relating to the Platform.

  1. NO WAIVER

No waiver by us, whether by conduct or otherwise, of any of these Terms and Conditions will be enforceable, except if the waiver is expressly provided in a written instrument signed by us. Further, any waiver will not constitute a continuing waiver unless expressly indicated in such instrument.

  1. SEVERABILITY

Any section or provision of these Terms and Conditions which is, or becomes, illegal, invalid or unenforceable will be severed. The severed portion will be ineffective. The remaining Terms and Conditions will be enforceable and valid.

  1. CHOICE OF LAW

These Terms and Conditions are governed by the laws of the State of California.

  1. JURISDICTION

Any disputes arising between you and us will be submitted to the exclusive jurisdiction of the competent courts in the State of California.

  1. FORCE MAJEURE

Force Majeure refers to unpredictable, irresistible and unforeseeable events that are beyond our control. Force majeure events can include, without limitation, pandemics, government orders, wars, acts of God, failure of telecommunication networks, fires, hurricanes and other natural disasters.

We will not be responsible if we cannot fulfill our obligations under these Terms and Conditions during a Force Majeure event. If a Force Majeure event lasts more than 30 days, we reserve the right to terminate access to the Platform, without liability to you for interruption or otherwise.

  1. COMMUNICATION

Any requests, inquiries or notices under these Terms and Conditions must be provided in writing. You may send us notices by email or through the Platform.

We may also send you notices and updates regarding the Platform by email or via a notification on the Platform.

As we may communicate with you by email, you must provide us with your current and valid email address. If the email address you provided is invalid, any notice we send to this email address will be deemed effective as per these Terms.
